2004 Merger
Belden Inc. (Belden) Was Formed through the Merger of Belden Inc. and Cable Design Technologies Corp. in July 2004
The all-stock merger of Belden Inc. Belden and Cable Design Technologies Corp. (CDT) took place at 4:02 p.m. Eastern Daylight Time on Thursday, July 15, 2004, pursuant to the certificate of merger filed with the Secretary of State of the State of Delaware. Immediately prior to the merger, every two shares of CDT stock were "reverse split" into one share of CDT stock. The exchange ratio of CDT shares for Belden shares was one for one after giving effect to the reverse split of CDT.
The combined company had approximately 46 million shares outstanding upon completion of the merger. Belden Inc. began trading on the New York Stock Exchange under its new ticker symbol, BDC, on July 16, 2004.
Belden is one of the largest U.S.-based manufacturers of high-speed electronic cables and focuses on products for the specialty electronics and data networking markets, including connectivity. Belden has headquarters in St. Louis, Missouri and Venlo, The Netherlands (EMEA headquarters).
